Affiliate Program Agreement

This Affiliate Program Agreement ("Agreement") is made and entered between GO54 ("Company"), and the Partner being the ("Affiliate"). This Agreement outlines the terms and conditions governing your participation in the Affiliate Program ("Affiliate Program" or "Services"). By electronically accepting this Agreement, you indicate that you have read, understood, and agreed to be bound by its terms, in addition to GO54.

Definitions

"Affiliate" - The business, individual, or entity applying to or participating in the Affiliate Program, or that displays Provider services and/or promotions on the Affiliate Site, or other means, using an affiliate tracking code in exchange for receiving a commission from Provider for sales directly resulting from such display.

"Affiliate Dashboard" - The Affiliate Dashboard is used by Affiliates to track commissions, view reports, and update contact information and payment preferences.

“Affiliate Platform” – An internal or third-party platform, including without limitation, Impact Tech, Inc. (“Impact Radius”) used by Provider to track Affiliate performance, including specific referrals and commissions earned through the Affiliate Program.

"Affiliate Site" - The Affiliate's website which displays Provider Services and/or promotions.

"Provider Services" - The services that are available for purchase from Provider.

"Commission Fees" - The amount you will be paid for each Qualified Purchase by a Referred Customer subject to any applicable Commission Threshold and pursuant to the terms of this Agreement.

“Commission Threshold” - The amount of Commission Fees as determined by Provider in its sole discretion an Affiliate must accrue prior to receiving a payment from Provider.

"Referred Customer" - Each new and unique customer referred from Affiliate through a Link (as defined in the Agreement) that provides valid account and billing information.

“Terms of Service” – The terms of service agreed upon between Provider and a Referred Customer relating to the Provider Services.

“Provider’s Website” – The Provider-designated website that Affiliate shall link to from Affiliate Site.

Affiliate Program Participation

GO54 grants Affiliate the non-exclusive, non-transferable right to participate in the Company Affiliate Program (the "Program").

Affiliate agrees to abide by all terms and conditions of this Agreement, as well as any Program guidelines or policies provided by GO54.

Affiliate Responsibilities

The Affiliate shall promote the Company's products and services in a professional and ethical manner, in accordance with the Company's brand guidelines. Affiliate shall use only approved marketing materials provided by Company, or create materials that are pre-approved by Company. Affiliate shall not engage in any deceptive or misleading marketing practices, including spamming, keyword stuffing, fraudulent traffic generation, or any listed in our General Terms of Service Affiliate shall accurately track and report all referred sales to GO54 using the provided tracking links and reporting tools. Affiliate shall be solely responsible for the content and functionality of its website and any other promotional materials used in connection with the Program. Affiliate shall comply with all applicable laws and regulations in connection with its participation in the Program.

Important Notice For Affiliates

There are terms and conditions for clients who would like to be part of our affiliate program.

  • The affiliate is credited with an initial sum of N500 for subscribing to our Affiliate Program.
  • The affiliate gets up to 15% on every paid shared hosting account (Web hosting, WordPress hosting, Python hosting & NodeJS) and email hosting as well as up to 5% on every paid reseller hosting account after 30 maturation days by or from each identified visitor from your website or using your unique Affiliate Link.
  • Commission is solely applicable to the initial purchase of products for periods exceeding 12 months. No commission will be awarded for domain purchases, one-month hosting plans or other subscription plans, or service renewals or upgrades made by clients.
  • The affiliate can only withdraw after the N3000 mark is reached. The affiliate may decide however to keep the money in the system for a certain period indicated in the agreement
  • Money withdrawn by the affiliate will be paid on a weekly basis and shall be paid every Friday via bank transfer into any bank account in Nigeria.
  • Money withdrawn would be paid to an account with the affiliate's name.
  • Two or more affiliate accounts cannot be combined.
  • You cannot refer yourself.
  • In the event that a purchase is canceled or refunded at the client's request within the 30-day period, the commission for such purchase will not be credited.
  • If your referral cancels or is refunded for his/her product or service, you will have to refund any commission paid by GO54, within 30 days. Otherwise, it will be deducted from the related commission in your account or the next payment.
  • Ensure that your Affiliate Link is set up properly to qualify for commissions, as this allows GO54 to identify or track visitors originating from you.
  • If you refer someone who has made a payment for a service but did not use your unique affiliate link, simply ask the referral to send us an email to affiliate@go54.com stating your email address and that you referred them.

Commissions and Payments

GO54 shall pay Affiliate a commission on sales generated through the Program, based on the agreed-upon commission rate for each applicable product or service. Commissions will be paid on a weekly basis and shall be paid every Fridayvia bank transfer into any bank account in Nigeria. Affiliate shall be responsible for any applicable taxes on earned commissions. GO54 reserves the right to withhold payment and/or terminate the Agreement for any breach of this Agreement by Affiliate GO54 agrees to pay Affiliate a commission for each Customer referred to GO54 website through Affiliate's referral link and who completes a qualifying purchase of GO54 products and services. The commission amount and payment terms shall be specified in the Affiliate Program documentation provided by GO54 and may be subject to change at Company's discretion.

Term and Termination

This Agreement shall commence on the Effective Date on sign-up and shall continue until terminated by either party. Either party may terminate this Agreement immediately for cause, including but not limited to: * Material breach of this Agreement by the other party * Engagement in illegal or harmful activities by the other party * Insolvency or bankruptcy of the other party Upon termination of this Agreement, all licenses granted hereunder shall terminate, and Affiliate shall immediately cease all use of GO54's trademarks, logos, and marketing materials.

Intellectual Property

GO54 owns all rights, title, and interest in its trademarks, logos, and other intellectual property. Affiliate shall not use any of GO54's intellectual property in a manner that would violate or infringe upon such rights.

Data Security

Affiliate shall comply with all applicable data protection laws regarding the transmission of data exported to or from Nigeria or the country in which Affiliate resides, including without limitation, the Nigeria Data Protection Act 2023 (the “NDPA”). The affiliate, as a controller under the NDPA, shall also implement appropriate technical measures to ensure a level of security appropriate to the risk, taking into account the nature, scope, context, and purpose of processing any personal data. Affiliate agrees to promptly assist Provider in complying with any data subject rights request under the NDPA that Provider may receive from any individuals referred to Provider by Affiliate. Affiliate further agrees to promptly assist Provider in complying with any duties to cooperate with supervisory authorities under the NDPA.

Representations and Warranties

Each party represents and warrants that it has the full power and authority to enter into this Agreement and perform its obligations hereunder. Each party disclaims all other warranties, express or implied, with respect to the subject matter of this Agreement, including warranties of merchantability and fitness for a particular purpose.

Indemnification

Affiliate shall indemnify and hold harmless GO54 from and against any and all claims, losses, damages, and expenses (including attorneys' fees) arising out of or relating to Affiliate's participation in the Program or breach of this Agreement.

Limitation of Liability

8.1. IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR SPECIAL DAMAGES, INCLUDING LOST PROFITS, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of The Federal Republic of Nigeria, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

Dispute Resolution

Any disputes arising under or in connection with the validity, interpretation and performance of this Terms between GO54 and any third parties that cannot be resolved amicably by the parties through negotiation within 30 (thirty) days shall be resolved by Arbitration at the Lagos Court of Arbitration (LCA) before a single arbitrator in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria. The Parties shall endeavour in good faith to mutually agree on the selection of an arbitrator. If the Parties cannot mutually agree on the selection of an arbitrator within ten (10) days of the request, they shall apply to the LCA to appoint an arbitrator. Arbitration proceedings shall be conducted in Lagos. The arbitrator will be requested to render an award within ninety (90) days and to provide, in writing, the reasoning for the award. The decision of any such arbitrator shall be final and binding on the parties. Each party shall bear its cost in connection with the Arbitration and the arbitrator’s fees shall be split equally between both parties.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

Changes to the Agreement

GO54 reserves the right to revise its policies at any time without notice.
