This Domain Reseller Agreement (the "Agreement") is made between GO54 Limited ("GO54" or "Company"), a limited liability Company and Reseller ("Reseller" or "You" or "Your") who orders GO54 Services. Each of GO54 and Reseller referred to as a "Party" and collectively as "Parties" under this Agreement.
The Agreement applies to the Reseller's use of the Services and is governed by these Domain Reseller Terms of Service which include general Terms of Service, Privacy Policy and the terms of your Order which may have additional Product Terms and Conditions that apply to the particular services in your Order set forth on GO54's website, as the same may be modified by GO54 from time to time and all of GO54’s policies, all herein incorporated by reference and shall be deemed a single agreement (collectively the "Agreement"). GO54 may modify the Agreement and any other applicable Product Terms from time to time in its sole discretion, which modifications will be effective upon posting to GO54's website. Your use of the Services includes the ability to enter into agreements and make purchases electronically.
You acknowledge that your electronic approval constitutes your acceptance to the Agreement for each electronic purchase or transaction you enter. GO54 may accept or reject any Order you submit in its sole discretion. GO54’s provisioning of the Services described in an Order shall be GO54’s acceptance of the Order. If you are entering into this Agreement on behalf of a legal entity, such as the company you work for, you warrant and represent to us that you have the legal authority to bind that entity to this Agreement. You acknowledge and agree you will use this Service to resell web hosting.
PLEASE READ THIS AGREEMENT CAREFULLY. BY USING THE COMPANY’S PROGRAM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND AND AGREE TO BE BOUND BY ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT, ALONG WITH ANY NEW, DIFFERENT OR ADDITIONAL TERMS, CONDITIONS OR POLICIES WHICH COMPANY MAY ESTABLISH FROM TIME TO TIME. YOU MAY VIEW THE LATEST VERSION OF THIS AGREEMENT ONLINE.
In addition, when you use your account or permit someone else to use it to purchase or otherwise acquire access to additional Services or to cancel your Services (even if we were not notified of such authorization), You also agree to be bound by the terms of this Agreement for transactions entered into on Your behalf by anyone acting as Your Agent, and transactions entered into by anyone who uses the account You've established with Company, whether or not the transactions were on Your behalf, You signify your agreement to the terms and conditions contained in this Agreement.
"API Resellers” refers to resellers who connect via API directly to Registrar's third-party technology partner to resell Registrar Services. API Resellers are responsible for all payments due to Registrar.
"Order" means (i) the online order that you submit or accept for the Services, (ii) any other written order (either in electronic or paper form) provided to you by GO54 for signature that describes the type or types of services you are purchasing, and that is signed by you, either manually or electronically, and (iii) your use or provisioning of the Services through an API.
"Personal Data" refers to data about any identified or identifiable natural person,under applicable data protection or privacy law. It includes information that by itself or combined with other information can be used to identify a person.
"Business Day" means Monday to Friday, excluding public holidays. Business Hour" means 9:00 a.m. – 5:00 p.m. on a Business Day.
"Intellectual Property Rights" means all rights protectable by copyright, trademark, patent, industrial design or trade secret and other intellectual property rights under any law including common law.
"Registered Name" is a domain name within the domain of a gTLD or ccTLD, consisting of two or more levels.
"Registered Name Holder" is the owner of a Registered Name as listed in the public Whois record.
"Reseller Contact Details" means the name, address, phone number, email address, and website(s) of Reseller that Reseller provides to Registrar.
Use of the Services is also governed by the following policies, which are incorporated by reference. By using the Services, you also agree to the terms of the following policies.

According to the Whois Accuracy Specification Program outlined by ICANN, the Registrar must send an email to the Registered Name Holder to confirm the Registered Name Holder's email address. The Registered Name Holder must respond positively to the email and it must be returned in the manner specified by the Registrar. The Registered Name Holder's Whois contact information must be verified within fifteen (15) days of registration, transfer, or change. The Registrar will suspend the Registered Name if the Registered Name Holder doesn't confirm the email address. Additionally, the Registrar should make an effort to authenticate any changes to the Whois contact information associated with any Registered Name sponsored by the Registrar within fifteen (15) calendar days of receiving the changes.If the Registered Name Holder fails to verify the contact changes, Registrar shall suspend the Registered Name.
The reseller shall comply with applicable law and the terms and conditions of the Agreement.
When registering a registered name, the reseller must require its customers to provide accurate and up-to-date contact information. This information must be provided in full, and it must include the registered name holder's full name, postal address, zip code, email address, phone number, and fax number, if available. If the registered name holder is a business, association, or corporation, the reseller must also require the name of the authorized person for contact purposes.
A Registered Name Holder's willful provision of inaccurate information, its willful failure to update information provided to Registrar via Reseller within seven (7) days of any change, or its failure to respond for more than fifteen (15) days to inquiries by Reseller or Registrar concerning the accuracy of contact details associated with the Registered Name Holder's registration, shall constitute a material breach of the registration agreement between Customer and Reseller and will be a basis for suspension and/or cancellation of the Registered Name registration.
Each new or renewed Registered Name Holder must be informed by the Reseller of the following, and permission must be obtained for each according to the Privacy policy.
Registered Name Holder shall represent that notice has been provided equivalent to that described in our Privacy policy to any third-party individuals whose Personal Data are supplied to Registrar by the Registered Name Holder, and that the Registered Name Holder has obtained consent equivalent to that referred to in our policy of any such third-party individuals.
Reseller ensures that it won't use Personal Data obtained from the Registered Name Holder for any purposes or restrictions other than those specified in the notification it sent the Registered Name Holder in compliance with our Privacy policy
The owner of the registered name must guarantee that, to the best of their knowledge and belief, neither the registration of the registered name nor the way it is used, either directly or indirectly, violates the legal rights of any third party.
Registered Name Holder shall agree that its registration of the Registered Name shall be subject to suspension, cancellation, or transfer pursuant to any ICANN specification or policy, or pursuant to any registrar or registry procedure not inconsistent with any ICANN specification or policy: (1) to correct mistakes by Registrar or the Registry Operator in registering the name or (2) for the resolution of disputes concerning the Registered Name.
Resellers shall require Customer to consent to ICANN's Uniform Domain-Name Dispute-Resolution Policy and NiRA’s Dispute Resolution Policy and any other registry Registrar is connected to.
Resellers shall identify or provide a means of identifying the sponsoring registrar upon inquiry from the customer.
Resellers shall not display the ICANN or ICANN-Accredited Registrar logo or otherwise represent themselves as accredited by ICANN unless they have written permission from ICANN to do so.
Reseller shall pay GO54 the amounts set out for each order for Services attributed to Reseller. Reseller shall bear all taxes, duties, levies, and other similar charges (and any related interest and penalties), however, designated or imposed on it as a result of the existence or operation of the Agreement, including any income, sales, or use tax on profits that may be levied against it.
The Reseller will determine its resale prices for its customers.
Reseller shall ensure that your Reseller account information as it appears in the online client account is true, accurate, current, and complete.
Resellers are responsible for ensuring that the domains registered are not used for abusive activities such as excessive overloading, phishing, spamming, or fraudulent activities, while the Reseller agrees that the Company reserves the right to suspend the domain/s that threaten the reputation of the Registrar.
All Services under this Agreement are provided on a prepaid basis.
Domain name fees are non-refundable, in whole or in part, once the domain name has been registered and activated. All refunds will be treated according to our refund policy on https://www.GO54.com/tos/refund-policy.php
Domain Reseller acknowledges that in no case whatsoever is GO54 required to refund Domain Reseller or its customers for Services provided in whole or in part under the following circumstances, including but not limited to:

GO54 shall provide domain reseller API setup for free to Domain Reseller.
Domain Reseller can add her own margin to the qualified tiered annual pricing for domain resellers on the table below and sell to her clients at a higher retail price than GO54 Retail. Qualifiers are basically the amount you have to spend on domains before moving to the next level. The amount is based on registration, renewals, and transfers.
This Agreement only covers for the domain TLDs stated on our Domain Reseller page https://www.GO54.com/domains/domain-reseller Any other additional domain TLD not on the table will be in a different agreement.
Domain Reseller should ensure that they have sufficient funds in advance in their client/reseller account on GO54 at all times to be able to buy a domain or can decide to place an order and pay for it on-the-spot.
Domain Reseller will submit orders to GO54 via (a) the Reseller Panel, or (b) using the Reseller API.
Domain Reseller will pay GO54 for Services upon order submission into the Reseller Panel according to the Reseller Price List (“Price List”) located in the Reseller Panel and/or the price listed upon checkout during the registration submission.
GO54 may modify its Domain Reseller Price List at any time on its website via https://www.GO54.com/domains/domain-reseller.php.

The gTLDs (such as .com, .net, .org) have a 36-day Auto-Renew Grace Period, followed by a 6-day Queued For Deletion phase, then a 30-day Redemption Grace Period, and finally a 5-7 day Pending Delete period before becoming available for fresh registration. The .NG domain names have a Renewal Grace Period of 0-60 days, followed by a 28-day Redemption Period, a 14-day Pending Purge period, and then become available for fresh registration. The ccTLDs require payment for domain renewal fees in advance before they expire, as they enter a redemption period where services associated with the domain name are no longer available. After the redemption period, they become available for re-registration on a first-come, first-served basis, without any grace period. More details can be found here
GO54 may terminate your access to the Services, in whole or in part, without notice in the event that:
Associated services will become inaccessible upon suspension or deletion.
Reseller agrees that if a dispute arises as a result of one or more domain/s registered with us, you will indemnify, defend, and hold the company harmless for damages arising out of such dispute. Reseller also agrees that if the Company is notified that a complaint has been filed with a governmental, administrative, or judicial body, regarding a domain/s registered with the Company, that Company, in its sole discretion, may take whatever action it deems necessary regarding further modification, assignment, and/or control of the web site to comply with the actions or requirements of the governmental, administrative, or judicial body until such time as the dispute is settled. You agree to be bound by the appropriate domain dispute resolution policy applicable to the domain that you have selected, including the Uniform Domain Name Dispute Resolution Policy, and the Nira Dispute Resolution Policy.

Media Releases: Except for any announcement intended solely for internal distribution by either Party or any disclosure required by legal, accounting, or regulatory requirements, all media releases, public announcements, or public disclosures, including but not limited to promotional or marketing material, by either Party or its employees, mandataries, or agents that include references to the other Party or the Marks of the other party, shall be coordinated with and approved in writing by such person prior to the release thereof.
Independent Contractors: The Parties are independent contractors under this agreement, and nothing in this Agreement shall be construed to create any partnership, joint venture, employment, or agency relationship whatsoever between GO54 and the Reseller. Either Party shall not, by reason of any provision herein contained, be deemed to be the partner, mandatory agent, or legal representative of the other Party nor to have the ability, right, or authority to assume or create, in writing or otherwise, any obligation of any kind, express or implied, in the name of or on behalf of the other Party.
Entire Agreement: This Agreement and the additional policies and agreements stated hereto collectively constitute the entire agreement between the Parties about the subject matter hereof and supersede all prior agreements, understandings, negotiations, and discussions concerning the subject matter hereof, whether oral or written. In case of a conflict between the Agreement and any purchase order, service order, work order, confirmation, correspondence, or other communication of the reseller or Company, the terms and conditions of the Agreement shall control. No additional terms or conditions relating to the subject matter of the Agreement shall be effective unless approved in writing by an authorized representative of Reseller and Company. This Agreement may only be amended, modified, or supplemented by a written agreement signed by both parties hereto; provided, however, that these Terms of Service may be modified from time to time by Company in its sole discretion, which modifications will be effective upon posting to Company's web site.
Language: The Parties have requested that this Agreement, together with any schedule, notice, or other related documents, be drawn up in the English language only.
